These terms are the deal between you and Uki. Uki is operated by Open Shore, LLC, a Delaware limited liability company (“Uki,” “we,” “us”). By using the Uki app or uki.audio, you agree to these terms.
Uki Music lets you listen to live radio and a preloaded public-domain catalog, keep a personal music library in your Uki Cloud, and use the Spin assistant. Memberships and Uki Collect hardware are purchased on the web at uki.audio, not inside the mobile app.
Music you own, captured from your own media with Uki Collect or uploaded from files you have the right to use, is yours under a personal, perpetual, non-transferable license to the recording. You keep your files. Streamed access to your library continues as long as Uki operates; if we ever wind down, you get a final 90-day window to export everything you own.
Live radio and the included public-domain catalog are free. Cloud streaming and sync, and unlimited Spin messages, require a membership, purchased and managed on the web. You can use Uki without a membership and keep everything you own.
You may upload only files you have the legal right to upload, typically iTunes-purchased files in phase 1, identified by their Apple ID purchase signature. We do not host files that fail this check. If you believe we have hosted infringing content, file a notice through the in-app copyright reporting flow (Settings → Report a copyright claim) or email [email protected].
Our designated copyright agent is DMCA Agent, Open Shore, LLC, registered with the U.S. Copyright Office and reachable at [email protected].
Per 17 U.S.C. § 512(i), accounts that receive three accepted DMCA notices in any 18-month window are terminated. Strikes auto-expire after 18 months. Counter-notices that prevail rescind the corresponding strike.
Purchases and memberships are made on the web and processed by Stripe, subject to the terms shown at checkout. Digital purchases are final once delivered; if something goes genuinely wrong (wrong item, broken file), email us and we'll make it right. A successful chargeback may revoke access to the affected item.
Use Uki for your own personal, non-commercial enjoyment of music you have the right to play. Don't upload content you don't have the rights to, attempt to break or overload the service, resell or redistribute streams, or use the app to infringe anyone's rights.
Best-effort. We don't promise 100% uptime. We commit to: reasonable diligence, prompt communication, and a working export.
Uki Music is provided “as is.” We're not liable for indirect or consequential damages. Maximum cumulative liability for any claim is capped at the amount you've paid us in the prior 12 months.
Open Shore, LLC is a Delaware limited liability company. These terms are governed by Delaware law; disputes go to the state or federal courts located in New Castle County, Delaware.
We'll notify you in-app of any material change 30 days before it takes effect. Continuing to use Uki Music after that window means you accept the change.
